Terms of Service

These Terms of Service ("Terms") govern your use of https://zedhostcloud.com, the customer portal, and the purchase of cloud hosting, virtual desktops, managed IT, hardware and related services (the "Services") from Zedhost Cloud Solutions LLC. By placing an order, making a payment, or creating an account you agree to these Terms, our Privacy Policy, Refund Policy and, where applicable, the Subscription Terms, Hosting Terms and Acceptable Use Policy.

1. Business customers

The Services are offered to businesses and professionals. By ordering you represent that you are at least 18 years old and are authorized to purchase on behalf of the customer or company named on the order.

2. Orders, pricing and acceptance

All prices are in US dollars. Prices, product availability and specifications may change without notice; the price shown at checkout or on an accepted quote is the price charged. An order is accepted when we send the order confirmation email; we may decline or cancel an order for reasons including pricing errors, suspected fraud, vendor unavailability or non-payment, in which case any payment received is refunded. Quotes are valid until the expiration date stated on the quote.

3. Payment

We accept credit and debit cards (when enabled), ACH bank transfer and checks by mail. ACH and check payments are confirmed manually by our finance team; orders paid by these methods are fulfilled after funds are received and, for checks, deposited. A returned ACH or a dishonored check may result in cancellation of the order and a $35 return fee. Invoices are due by the due date shown. Where card payments are enabled, card details are transmitted directly to our payment processor and are not stored by us. Charges appear on card and bank statements under our assumed name, QBDESKTOPCLOUD, and checks must be made payable to QBDesktopCloud.

4. Electronic authorization

When you place an order or submit a payment you are asked to type your name as an electronic signature and to confirm the authorization statement shown. We record that acknowledgment together with the date, time, IP address and device information as evidence of your authorization. You agree that this electronic record is a valid record of your consent to the transaction to the extent permitted by applicable law, including the U.S. Electronic Signatures in Global and National Commerce Act.

5. Software licenses and hosted applications

We do not sell software licenses. You are responsible for holding valid licenses for every application installed in your hosted environment (for example QuickBooks Desktop from Intuit, Sage products from The Sage Group, or tax software from its publisher) and for complying with the publisher's license terms, including any restrictions on hosting or remote access. We may require proof of license before installation and may remove software that is not properly licensed.

6. Hardware

Hardware is sold with the manufacturer's warranty. Configuration and deployment services, if purchased, are described on the order. Hardware orders that require freight or special ordering are quoted individually and the quote governs delivery terms.

7. Hosting and subscriptions

Hosting and other recurring services are governed by the Subscription Terms, Hosting Terms and Acceptable Use Policy in addition to these Terms.

8. Customer accounts

You are responsible for keeping your login credentials confidential and for all activity under your account. Notify us promptly of any unauthorized use. We may suspend accounts that are used in violation of these Terms.

9. Refunds and cancellations

Refunds are handled according to our Refund Policy. Refund and void records are maintained for each transaction.

10. Support

Support is provided by email, phone and portal tickets during business hours, Central Time, Monday through Friday, excluding US federal holidays. Support covers the products and services we sell; publisher-level support for software is provided by the publisher under its own terms.

11. Intellectual property

The website, its content and the ZedHost Cloud Solutions name are owned by Zedhost Cloud Solutions LLC. QuickBooks, Intuit, Drake, Sage and other product names are trademarks of their respective owners and are used for identification only; no affiliation or endorsement is implied beyond any reseller relationship we hold.

12. Disclaimer of warranties

Except as expressly stated, the Services are provided "as is". We disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement, to the maximum extent permitted by law. We do not warrant that software will meet your requirements or that hosted services will be uninterrupted or error-free, except as stated in the Hosting Terms.

13. Limitation of liability

To the maximum extent permitted by law, Zedhost Cloud Solutions LLC will not be liable for indirect, incidental, consequential, special or punitive damages, or for loss of profits, data or business, arising from the Services. Our total liability for any claim is limited to the amount you paid us for the specific product or service giving rise to the claim during the twelve months before the claim.

14. Indemnification

You agree to indemnify and hold Zedhost Cloud Solutions LLC harmless from claims arising from your use of the Services in violation of these Terms, applicable law or third-party rights.

15. Governing law and disputes

These Terms are governed by the laws of the State of Illinois, without regard to conflict-of-law rules. Any dispute will be brought in the state or federal courts located in Cook County, Illinois, and you consent to their jurisdiction. Before filing a claim, each party agrees to attempt in good faith to resolve the dispute by contacting the other in writing.

16. Changes to these Terms

We may revise these Terms; the revised version applies to orders placed after it is posted. Continued use of the Services after changes constitutes acceptance.
